Fund Management Services

We establish and manage private equity investment funds on behalf of our investors. This means we can tailor funds to meet the requirements or intentions of different groups of investors.

Our second fund is incorporated in Trinidad and Tobago as Dynamic Equity Fund II Ltd. It is registered as a Reporting Issuer under the Securities Industry Act. It has received confirmation from the Inspector of Financial Institutions at the Central Bank of Trinidad and Tobago that it is approved for investment of Statutory Funds under section 1(i) in the Second Schedule to the Insurance Act.

This fund is a closed-end fund intended for institutional investors. Participation is restricted to "sophisticated purchasers" as defined in the Securities Industry Act of Trinidad and Tobago.

Dynamic Equity Venture Fund Ltd.

Our first fund is incorporated in Trinidad & Tobago as Dynamic Equity Venture Fund Ltd. It is registered as a Reporting Issuer with the T&T Securities and Exchange Commission. It was also approved for investment of Statutory Funds under the Second Schedule of the Insurance Act, 1980.

This fund started operations on 12 July 2001. Its investment period ended in July 2007. All of its $ 35 million in investable capital has been fully allocated. Its investors are:

Guardian Life of the Caribbean Ltd.
Multilateral Investment Fund of the Inter-American Development Bank.
Andean Development Corporation (CAF)

Taxation

Under the current tax regime of Trinidad & Tobago, dividends and long-term capital gains are tax exempt for local shareholders. Neither of our existing funds are registered under the Venture Capital Act, 1994 of Trinidad & Tobago. Therefore, their investees are not subject to restrictions in the Act and their investors do not qualify for the tax credit under the Venture Capital Incentive Programme. Both of our current funds are standard companies for tax purposes.

Legislation

The Venture Capital Act and Regulations of Trinidad & Tobago were amended in July 2005. While this Act and its Regulations do not currently apply to us, we can establish and manage a new fund under the Act if there is a demand for it from investors.
